NOTICE OF PENDENCY OF CLASS ACTION

Please be advised that your rights may be affected by the above-captioned securities class action (the “Action”), pending in the United States District Court for the Northern District of California, Oakland Division, (the “Court”), if, during the period from May 6, 2016 through March 1, 2018, inclusive (the “Settlement Class Period”), you purchased or otherwise acquired WageWorks, Inc. common stock in the open market and were damaged thereby and/or purchased WageWorks common stock in the June 19, 2017 public offering priced at $69.25 per share and were damaged thereby. 



NOTICE OF SETTLEMENT

Please also be advised that the Court-appointed Lead Plaintiffs, the Public Employees’ Retirement System of Mississippi, the Government Employees’ Retirement System of the Virgin Islands, and the Public Employees Retirement System of New Mexico (collectively “Lead Plaintiff”), on behalf of themselves and the Settlement Class (as defined in paragraph 1 below), have reached a proposed settlement of the Action for $30,000,000.00 in cash that, if approved, will resolve all claims in the Action (the “Settlement”).



YOUR LEGAL RIGHTS AND OPTIONS

FILE A CLAIMTo qualify for payment, you must submit a Proof of Claim and Release Form to the Settlement Administrator. Proof of Claim and Release Forms must be mailed or submitted electronically by September 14, 2021.
EXCLUDE YOURSELFYou can exclude yourself by sending a written “Request for Exclusion” so that it is received no later than July 30, 2021.


OBJECT

If you are a Settlement Class Member and you do not exclude yourself, you can tell the Court what you think about the Settlement.  You can object to all or any part of the Settlement, Plan of Allocation, and/or application for attorneys’ fees, reimbursement of litigation costs and expenses, and any service awards for Plaintiffs.  You can give reasons why you think the Court should approve them or not.  The Court will consider your views. Your objection must be received not later than July 30, 2021.
GO TO A HEARING

The Court has scheduled a Fairness Hearing for August 20, 2021, at 9:00 A.M.  at the United States District Court for the Northern District of California, Oakland Division, United States Courthouse, 1301 Clay Street, Oakland, CA 94612.

DO NOTHINGIf you are a Settlement Class Member and you do nothing, you will not get any money from the Settlement. You will remain in the Settlement Class and be bound by the decisions of the Court in this matter.



This website is authorized by the Court, supervised by counsel and controlled by Kroll Settlement Administration, the Settlement Administrator approved by the Court. This is the only authorized website for this case.

    Tuesday, September 14, 2021 You must submit your Claim Form no later than Tuesday, September 14, 2021, or mail your completed paper Claim Form so that it is postmarked no later than Tuesday, September 14, 2021.
  • Settlement Hearing Date
